Tesla Acquires SolarCity for $2.6 Billion

Tesla has agreed to acquire SolarCity for a $2.6 billion full stock deal. Each SolarCity shareholder will get .110 Tesla shares as a part of the deal.

On Monday morning, Tesla announced that it has come to an agreement with SolarCity. Tesla will buy the company in an all-stock deal that would give 0.11 shares of Tesla stock to investors for every share of SolarCity sick they own. The Wall Street Journalestimates this would make the deal worth $2.6 billion.

In a press release from Tesla, the company said that a merger could generate $150 million in “cost synergies” in the first full year after the deal closes. Executives from both Tesla and SolarCity said those synergies would come from decreased marketing expenses and the ability to leverage Tesla’s retail footprint by selling SolarCity panels in Tesla stores, as well as reducing the cost to service customers by consolidating service visits.

They hope to combine their energy innovations to create the worlds most energy sustainable company.

Just over a month ago, Tesla made a proposal to purchase SolarCity and today we are announcing that the two companies have reached an agreement to combine, creating the world's only vertically integrated sustainable energy company.



Tesla and SolarCity executives expect the deal to close in Q4 2016.

 

I think that this deal is one that should have been made way long ago, and it only makes sense with all of the battery storage technology that Tesla plans to roll out that they have solar technology to roll out with it. It makes perfect sense for them to merge.

Sound good to me. If Tesla or SpaceX would really work on engineering a new battery that holds more charge, lasts longer, and can charge faster. All gas powered cars would be obsolete in a few years. Same with desktop PCs and so much more

Just keeping this here as a Therefore Nikola Tesla in fact did get free energy to the masses in large quantities wirelessly just as all the conspiracy theories claimed, by using the Sun. (May have also traveled through time to construct the Sun).

 

To be frank, I don't know if there's any special reason to take over SolarCity instead of just founding a new company and just using the existing floor space, infrastructure and capitalizing on the geographic benefits going by starting from scratch that Elon's got in the states already.  I assume there is IP involved, or this allows Elon to sell teslas in china without needing to build an automobile assembly plant there, which if I recall was an issue (have not looked at it in a long time).

 

Will be interesting (for me) to get @MyInnerFreds thoughts as I believe they've been closely following both companies for quite some time.

Musk only has part controlling interest. He needs to get everyone else involved in SolarCity on board too - having Telsa outright buy SolarCity would have been an easier sell than totally gutting SolarCity and creating a new company on top - he'd have to compensate all Share Holders at an agreed upon rate, then give them x amount of shares, and hope the share price doesn't tank right afterwards for the shareholders of the new company.

The idea of combining Solar cells with the existing in home charging solutions for Tesla vehicles is exciting IMO.  With advancements in battery technology we could be looking at powering electric cars solely off free energy.  I hope this happens sooner than later!

To be fair, the Tesla "Battery Pack" never made a whole lot of sense by itself. The entire idea behind it when launched was based around the notion that many places have "peak" electricity rates (Eg: You pay more during 8am to 5pm, with the cheapest rates being 10pm to 8am, etc). So you're charging the battery pack at night, and discharging (using that stored charge to power your home) during the day.

 

Yes, you certainly can save money in these situations, but considering the cost of the battery pack, it's a very large investment for a very long term pay off.

 

Adding solar into the mix makes that pay off happen much much sooner, and can even take your reliance right off the grid with a proper setup.

Hmm Tesla seem to do an awful lot of spending, and not a lot of turning a profit.

 

I can't help thinking they'll run out of willing investors before they have the battery thing cracked. Or before automation comes for our jobs and there is only three people left who can afford a Tesla, or solar panels, or food that isn't rats.

GPS tracking, charge by the mile, it won't be free. Some governments might even tax the energy you produce. Though freedom from volatile oil prices will be a nice bonus.

I would not put it past governments to pull something like that to compensate for lost gas sales tax.  Either way it will be closer to free than gasoline will ever be.

Oh man.. If the government starts taxing solar production, that would be as crappy as it gets. That's basically taxing you for the use of the sun.

One thing to keep in mind is that Gasoline (at least, in most countries) is heavily taxed (Here in Ontario, the tax is $0.14/L of gas - and that's on top of regular sales tax - or HST in my case).

 

Most places use that tax to directly fund road improvement spending - new roads, resurfacing old roads, cleaning them, clearing them of snow, etc.

 

If  suddenly, overnight, everyone went out and bought an Electric Car - the state (Using this term colloquially - to refer to any nation, state, province, or government body) would suddenly find its road repair coffers empty.

 

So, as unfortunate as it is, the government will have to find a way to replace that tax revenue. Whether that means instituting a blanket "road tax" on electricity, or heavily taxing the purchase of an electric car, or something else entirely (A "smart meter" connected to the car charger that keeps track of how much electricity is used specifically to charge up the car, perhaps?)

 

The point being, they HAVE to tax us, in order to keep the roads maintained. I, as a car owner, and more than willing to pay that tax. If I bought an electric vehicle, as long as the tax made sense, was appropriate, and was not too high, I would be willing to pay it.

In that case, I would rather they take a tax on charging I guess. The availability and appeal of electric cars should be promoted and encouraged as much as possible in order to entice as many people as we can to bite the bullet for more eco friendly vehicles with sustainable energy sources. I think people would be more willing to pay an extra 7% or something on electricity used to power their car rather than adding $5-10k to the purchase price of an electric vehicle making the bill even more painful to get down.
