Both motherboards have Intel LAN and Realtek 892 audio card.
(I remember that my old P67extreme4 Gen3 had Realtek 892, 5 years ago)
The Tomahawk incorporates USB TypeC, The difference seems to be more aesthetic than anything else, they have up to the same price.
If the issue of USB is not important, I would choose the one that looks the most beautiful to me.

Anyway I would never choose an MSI motherboard, because I do not know how things are with that brand currently but since LGA775 I have seen many with serious electrical problems, especially in the areas of maximum energy consumption. I forgive for example problems of BIOS, but not a motherboard that will burn the components, they still say around here in AM3 they had problems ... end
