Should I upgrade CPU?

Firstly, cost is an issue, but my motherboard is crap (gigabyte GA-B75M-D3H) and I want to upgrade it, might find myself a Asrock Z77 extreme6 since a friend of mine has it and he has zero issues, and my memory is slow at 1333MHz I may find some sticks of 2133MHz, cas 8 sticks, which I feel is a good balance of speed and latency, should I upgrade my motherboard and be done with it because LGA1155 seems to be dieing on Newegg, or should I just get a new CPU as well, my current CPU is a 3570K at stock clock because it's still on a stock cooler, will fix that when the upgrade happens, last concern is windows 10 compatibility, after it's all said and done, I have to reinstall windows, since I lost my windows key, I need to buy a new copy, want to go with windows 10 when it happens.

no real reason to spend money on that. I wouldn't.

I would get a nice air cooler and OC the bastard!

 

It is hard to get a definitive answer on windows10 compatibility but as far i have researched, by which i mean contacting Microsoft, they stated' any PC running or can run Win8 is compatible with Win10 and only "special" components, meaning like PCI cards and peripherals and some on board wireless/wired adapters, will/may need an update. I also doubt any such updates will come for Z77 and we, as i am on Z77 as well, may need to look for generic Win10 drivers. Nothing is certain at this time.
