I'd go with MSI, it's quiet but still capable to cool the GPU (can handle overclock pretty good). I don't know about ASUS, I haven't tried their GPUs. I'd prefer GIGABYTE G1 though, but if you only have 2 choices between MSI and ASUS I'd go with MSI.

The MSI is the better of the two, but I would get a gigabyte windforce card above both of those.

Ok thanks guys I go for red and black for colors ( not amd fan) and I found a windforce for $315 and it sounds like that one is the best for this price range

Well i would personaly go with the Asus Strix.

 

Reason for that, is that the custom strix cooler is great, it also has a silent mode, which turns off the fans, untill the card reach a specific temp.

Next to that the Asus Strix is a fully custom design, with a custom pcb and vreg components.

 

I´m not sure about the Msi version you are looking at.

But that one looks like a reference design to me, with a custom cooler.

Correct me if im wrong here!

 

Thats why i would vote for the Asus 970 STriX, cause in my opinnion its better.

 

I hope this helps ;)

 

p.s The Msi also looks damm ugly, "personal" opinnion.

None of the 970 cards are "Bad", the Asus cards have had quality control issues with coil whine.

All the videos of Asus 970 with coil whine. 

But the truth is, its a silicon lottery. So it doesn't matter who you get it from, the Asus cards are just more commonly found with it.
