Which board has better VRM?

A heatsink will help keep the VRM cooler, so the 2nd motherboard will most likely be better.
The first mobo is also a "business" oriented mobo, so most likely it will have limited or no overclocking options, few or no options to set or adjust voltages and so on.
As for max cpu ...no idea.
