they will act like a 8core at 2.1GHz, (the CPUs will be slightly slower than 2.1GHz if the task requires them talking to each other though as that takes longer to do over a motherboard compared to cache. And I wish that it worked like that for frequency, but no, the frequency is the number of cycles/calculations a core can do in a second, this doesn't get better by adding more CPUs, but you get more cores which can do the cycles

Just a quick question. if i have two 2.1ghz 4 core Xeons on a server motherboard do they count as one 4.2ghz 8core CPU? thanks.

That's not how multiple CPUs work. In Windows, for instance, you will see 2X Intel xxxxx, where "xxxxx" is the model.
