The only thing I can imagine is.. uh.. paint getting into the I/O ports? Make sure it's dried properly; leave it a couple days and play safe. Should be fine.

as long as you remove the i/o plate out of the case (which means you have to put your mobo out and back in again) you'll be safe. I don't recommend spraying it installed in the case because spray paint has some paint mist which can and will settle down on your components

remove the IO plate, cover the back with tape, paint the front, let it dry, remove the tape, and put it back in your PC

Just pull it out, clean it off with soap and water (or rubbing alcohol if you have some handy), and once dry spray it with a few coats following the instructions on the can. Typically full cure will be 24 hours or so, its worth waiting that long so you don't chip off a bunch of paint when you re-install. Keep in mind that no matter how well spray painted, some of it will come off when you press it into the case, shouldn't be very noticeable and you can always touch up with a Sharpie.

I wouldn't recommend painting the side that would be inside of the case.

While it would likely work just fine for something like this where it will rarely ever be touched... I would still stay away from the $0.99 cans of spray paint and go with name brand. Primer isn't necessary for this in my opinion.

foam like??

Most modern I/O sheilds have foam behind a foil, so there is pressure around all of the ports for ESD protection, it works much better than the old style with metal tabs.
