I have now a i5-4670 non k..is it a good upgrade to go with i5-4690k? will I gain?or is it a waste?

Not worth it. If you had an i3 or an older generation i5, then sure, but you're basically going to get an extra GHz and the ability to overclock a beast CPU. That's pretty much it. If anything, wait until Skylake or Broadwell at the very least before you upgrade to anything and if you do, go for an i7 or Xeon since even then next i5's might not be that powerful compared to the i5-4670.

no water cooling is pointless unless you are doing heavy overclocking I mean if you are getting it for free and the person knows what they are doing sure but other than that no

You have listed a z97 motherboard and an locked 4770 (non-K) this is a waste, eighter get the unlocked CPU or just a cheaper mobo like an B85 ...

For PSU i personally use CORSAIR for several years without any issues (corsair tx 750w 5 years, corsair RM 750w 2 months)
