Packaging is different, and it doesn't come with accessories. Usually it'll say "Bare Drive" in the listing.

It's the packaging and accessories. Retail drives can come with adapters, cables, and flashier packaging.

No--stuff like 2.5" to 3.5" adapters and sata cables.

Usually when a drive is listed as a "Bare Drive" it will not include power or Sata connectors, or any of the aforementioned adapters.

I don't buy extra drives much but this has been my experience so far.

Firmware can be different. Most won't notice the difference but firmware from some OEM's firmware is made to work specifically/optimally with their hardware (controllers, disk racks, systems). That being said there are tricks you can do to flash a drive to a normal drive if you happened to find a boat load of OEM drives with firmware made for something else ;)  and vice versa so you can flash a drive generic drive to a OEM firmware (if you can get it) an OEM charges a boat load for.
