If i upgrade to windows 10 from windows 8.1 wil it delete my files ?

will i lose my files and will i need a new activation key?

No, the upgrade won't delete files, you won't need a new product key. 

 

It's a good idea to backup your data before the upgrade though, just in case something goes wrong in the process.
