So my buddy has a computer and we are going to upgrade it with a new motherboard and CPU. Problem is, I don't know if we need a new Windows.

If it's a prebuilt, yes. If it's custom built, no.

Yup, if its branded then yes, if its non-branded/retail then no.

I had a prebuilt dell pc, i swapped mobos 3 times and CPUs twice, the OS on the HDD could not of cared less. So you should be fine! :)

Swapping CPU isn't problem. Swapping mobo is. And if your windows was pre-7 (XP, Vista) it doesn't matter since those aren't mobo bound. Besides on some non-branded OEMs phone de/activation isn't needed. Like mine.

I was informed that windows copies from a prebuilt seller like dell for example are fine to be swapped over motherboards. That was the case with mine, it was a windows 7 home premium copy that came with an old dell xps 7100. That copy of windows is still running in a machine today after being swapped over 3 motherboards.
