Is this things a replacement for Modem? OR It sits between a modem and router?

Looks like a SDWAN gateway. Basically a type of VPN gateway, it would still require a VPN endpoint somewhere else (eg inside your corporate WAN). The LTE failover kinda confirms this.

 

The amount of photoshop'ing on this however suggests that it might be a counterfeit of another commercial device.
