Performance difference: FX-8320 vs 8320E

The TDP of 8320E is 95W, and 8320 is 125W 

Other than the 8320E has lower stock core frequency compare to 8320. 
There is not much of a difference after I overclock the 8320E, correct?

8320 is higher binned IIRC so you may end up with a better OC

It's basically a lower clocked version of the same chip. The E is no more or less efficient, and if overclocked to the same frequency, should have the same TDP.

the price difference is $20 ... 

so maybe i can save $20 and just OC it to the frequency of a 8320

It probably won't be stable, due to the way chip binning works. Have you looked into other CPUs?

the person i am gonna build for only have budget for a 8320E or 8320, he doesn't want 6300

Do you mean the FX6300? I would definitely get them to consider an i3 or i5, but it depends where you are...

yes, he doesn't want the FX-6300.

I don't think i3 will run on some games that require 4 virtual cores. 

i5 is already out of his budget range. 

Only have $170 CAD budget for a CPU

The 8320 would be better, but the 8350 would be best.
