Can Xeon E5430 run on a Biostar G41D3B V 6.0 motherboard?

I have an old spare system that runs on a Dual Core E5700 overclocked to 4.0 GHz on stock cooler, on a Biostar G41D3B motherboard. My friend has a spare Xeon E5430 cpu which I want to borrow from him.

So my question is if i try to run this Xeon E5430 which is an LGA 771 cpu on my LGA 775 motherboard, will it work? I am willing to add Xeon Microcode to my motherboard BIOS. And for the record my BIOS is updated to the latest.

Also how much overclock can I expect it to go if I use only stock cooler that came with my Dual core E5700 ?

My question was can my motherboard Biostar G41D3B V. 6.x can run Intel Xeon E5430.

Apparently my motherboard boots up with the xeon but shuts down after passing the POST with a message "The max power of CPU is over 65W. Prepare to shut down...!!"
