I was planning to build an all in one htpc.

It would also be used as a media server as i plan to stream media to my phone and tv, and yes it would have to transcode video from time to time.

Budget-$40 to $150

I think amd has better VFM for the low-cost proccesors.

CPUs that i have a look at are- amd athlon x2 270, intel pentium g630, amd fx 4100.

Please also guide me about how much processing power is needed for video transcoding.

i have a HTPC which runs a combined Mbo and CPU with 4gb of RAM and a gtx650 for video transcoding and it works like a dream. the video trancoding will be a little bit slow but then again the CPU/Mobo combo is nice and cheap:

with it being a Celeron CPU you might think it looks abit underpowered but it should suite your streaming needs just fine. the gtx650 helps alot with transcoding :)

Sorry i am a newbie and doesn't know much about it but,

if i am streaming a video from my htpc to my phone, i think all the conversion on the fly will be done by cpu.

I might me wrong.

and by the way cpu-mobo combo is great but i live in India and amazon doesnt ship there.

All the low-end cpu that i can easily get here are some Pentiums and couple of athlon x2s.
