So if I "upgrade' to the gigabyte will I yield better results? 

Can't say for sure but It's a safe bet that it won't die so easily trying. It does have some heat sinks on the VRM's atleast.

Like all things overclocking, nothing's guaranteed. But I don't think it's unreasonable if you say it was stable before (with the exception of the MB being dead and all....lol). 

For future reference, here's what a MB's power staging looks like.

A simple rule of thumb is, if you can see these on a board, it's not going to OC well. This is where a heatsink should be.

So, what do you think is fried? the CPU or the motherboard, it has been giving 2 beeps and never turning on since the overclock. I've tried everything, and I mean EVERYTHING

You reset the CMOS already?

Stability with prime95 for 2 hours, that was pretty stable to me. I guess the MOBO was a bottleneck?

2 hours is not enough to find out if an overclock is stable.
