A z97 board will allow you to oc. Other than that, the motherboard doesn't really affect performance.

I have it OC to 4.2 but I am having some performance issues on gta 5

gta 5 is pretty nicely threaded, you can buy xeon 1230v3 or 1231v3

You can get tray since you have cpu cooler.

Hi I currently have a MSi H81M-p33 with an intel G3258. I will be upgrading to an I5 4690k will upgrading the mother board to a Z97 make a difference in performance at all or would it be a waste of money.

i would keep your current board and order a xeon E3-1231V3 as a new CPU instead.
