The memory on gpus matters a LOT more then with the shared memory, the gpu has to draw up and get rid of files like textures and objects at a crazy speed.

Also graphics cards work on all types of motherboards(apart from server boards) that includes eatx, atx, matx or itx, theres more but those are the most common.

I recommend this gpu, its a tad over the budget you have in mind however you get bf4 with it for free which i think is a good deal, if you dont want it then thats understandable at any rate the 270/270x is the best card you can get at this price point.

Alternatively you could get a second hand gpu which is used but has superior performance in this case by a noticeable amount.

*correction* ignore the above

Your board is a weird kinda matx board and has little gpu support, an evga 750/ 750 ti(go for 750 ti if you can find it) is your best bet.

Can you take a pic of the insides and the back of your PC? Edit: Is this it?1335363835-2639894681.pngIf so, then you won't fit a double-slotted card there. You'll need a graphics card that will only take up one pci slot.

this exactly like mine when i opened up mine

do you think i should upgrade both the processor and graphics card ? Atm i have intel celeron @2.6 ghZ dual core and i'm thinking off throwing extra 4gb ram for better perfomence

To be honest I'd put money towards building a decent PC and selling that, as that PC is kind of a dead end in terms of performance upgrades.
