You can keep your copy of Windows, but it's recommended to do a fresh install when moving to a new platform.

Yes, WIndows will ask for a new activation code.  In the past I called MS and told them my MOBO had died and they reactivated it for me, but I don't know if this will still works or not.

If you're using the same HDD, it should be fine.
