Pc freezes after cpu upgrade

I upgraded my cpu and my pc started to freeze. I can't even use the bios. But when i put out one ram it backs to normal. If I chance a bios setting and put the ram back i can use it

Cpu : Xeon E5462

Ram : 2x2

Graphic card: MSI low-profile R7 240

Motherboard : G31m-es2l v1 bios updated 

PSU : 250 watt

Not sure but try resetting cmos maybe that can help

I did it an it works but when i restart the pc it is still freezing

Then I guess you have to reset cmos every time you boot it’s very tedious but anything is better than nothing
