A good upgrade?

I have a RX-470, and a fx-4300 and want to upgrade. For $120 I can get a i5-2400 3.1 gh, and a GA-H61MA-D3V motherboard, heat sink etc.

Is this a good pairing and will higher speed ram downclock automatically/safely for the board?

The RAM will downclock safely, yes. I don't really advise investing in old platforms like sandy bridge at this point though. I'd save more and get to at least haswell.
