2 problems,1 reason,help plz

First problem-Recently I bought Xeon E5472 ,installed it in P5K-VM and flashed BIOS. RAM running at 800 MHz. Windows worked fine for sometime, but then bluescreens showed up after 20-30 minutes of using computer with error MEMORY MANAGMENT.Reinstallation of Windows didn't help. Second-after stock CPU cooler failed I bought new one(Deepcool S40).Although temps are insanly low(30-50 C),it spinning at maximum.I tried it on another MB and it speed was regulating. So,what shell I do with it?Most obvious for me is to buy new mobo, but right now I low on budget.

Memory management wouldn't be a motherboard issue. It is a ram issue, try running memtest on the sticks, or use the built in memory tester in windows. Odds are you have a bad ram stick.
