what is the difference between 

MSI Z97 MPOWER Max AC LGA and MSI Z97 MPOWER LGA 1150

that is it just wifi

Theres very little difference between motherboards. the lowest z97 board vs. the highest will only offer slight difference--none of which affect performance.

It has phase doublers :)

Considering how much stuff has been moved from the mobo to the CPU, the overclock you're going to get falls more down to the silicon lottery on your CPU than your "low-end" mobo preventing you from overclocking any further. The motherboards just do and matter less these days, just get the features you want (fan control, perhaps some useful surround simulation options on motherboard's onboard audio, enough SATA etc.) and then put the rest of the dough towards the CPU or cooling.
