Chip problem or CPU problem...? Chip is usually used to refer to the CPU so not sure what you mean there. As for having to down clock the cpu, it could be either the cpu or motherboard. If possible try using either a different cpu or motherboard, or RMA one of the 2. As for the memory, it's probably a problem with the ram. I had the same problem and replacing the ram with a different brand fixed the problem for me.
