I have an old i7 3770 non overclockable with some old motherboard that is falling apart. today I saw on pccasegear.com a intel Xeon e3 1230 cpu combo with a krait gaming mother board and 16gb of ddr4 for $600 Australian dollars. I was wondering if it is worth the upgrade.

Not really unless you're finding the i7-3770 slow.  In which case, you probably need to go 6 or more cores to really 'feel' faster.  Sandy Bridge/Ivy Bridge motherboards are a dime a dozen.  Buy one, replace your old motherboard, and you should be fine for a few more years.
