The i7 is the same in both cases. The "tray" i7 just comes from a bulk tray and may simply come as the bare chip wrapped in a small piece of bubble-wrap. The "box" version is the same chip, but in a retail box with data/warranty sheet and cooler (where applicable - some of the new "K" versions don't have a cooler in the box.

Other than that there's no difference between them, so the only real choice is whether or not you want the cooler. The price difference is usually not enough to cover the cost of a cooler, so it might be best to get the boxed version just to have a spare cooler, even if you plan to use an after-market unit.
