The black edition one has a slightly higher clock speed. It may have a 0.5% better performance compared to the other one, it's not a significant boost.

The first one has a higher core clock (probably factory overclocked, e.g. XFX 'Black edition')

More like 3-4% better performance out of the box.

A 40 MHz overclock will maybe give you 1 more fps, it's not enough to make a noticeable performance gain.
