OEM Key can only be installed on one PC. It does not allow for any support directly from microsoft. It is intended for Original Equipment Manufacturers (like dell or sony) who provide support to the end user.

 

Retail keys can only be installed on one PC...however, if that PC is disabled or upgraded you can transfer the key to a new machine. Support from microsoft is included.

OEM keys are intended for Original Equipment Manufacturers, and are for companies like ASUS, Acer and eMachines so they can buy mass copies of Windows at a reduced prices when they create prebuilt systems. A retail key is intended for those building a PC, and clean installing a fresh copy of Windows

OEM stands for original equipment manufacturer. When using an OEM key, you are stating that you are the original manufacturer of the PC. If you run into any problems with the software of any kind or change out hardware, Microsoft isn't helping.
