The ASRock has more SATA ports and a color scheme if you're going for a blue and black build.

 

The MSI has 1 additional PCI 1x and a slightly better I/O

 

Other than that they're pretty much the same thing, aside from their respective BIOS menu and a slight difference in RAM speeds.

 

I'm not familiar with MSI BIOS menus, but I can say that ASRock (being a sub company of Asus) are good.
