Upgrade Help and Advice

Im wanting to do a slight upgrade on a tight budget. Im talking about a ramen noodle budget. My rig is quite a few years old now and wasn't top of the line back then really. I know that I need more RAM and an updated GPU. Any advise on one and other upgrades that I can make to beef it up just a bit. Im looking to play Witcher 3 (and perhaps Arkham Knight once they get it worked out) with playable FPS on low to mid settings. Curent rig:

 

Thermaltake Lanbox (space is an issue)

EVGA GT 640 GPU

4 gigs of DDR2 RAM

AMD Phenom 9850 quad core 2.5 GHz

ASUS M4A785-m MOBO

Corsair TX600 PSU

leave the gpu for now get a new motherboard and ddr3 ram and if you can get a better cpu

What is your Budget?

Around $100 to $150 max. I plan to build a new system from the ground up as soon as I am able, but for now im just trying to get by.
