For OCing: Gaming 5

For looks: Personal preference, but Gaming 5 looks better IMO

Gigabyte hands down, particularly at the same price (which is what you're implying). If the ASRock is a lot cheaper then it may be worth a look if you're on a budget but the Gigabyte is the one I'd choose every time. Also bear in mind that the ASRock would need a BIOS update in order to work with the newer Haswell Refresh CPUs.
