Could be. Reactivate no as far as I know, but sometimes Winodws 7 has problems with major hardware changes like CPU and mainboard. So maybe you won't have to, but it could be.

I upgraded my CPU and mobo and i didn't have to reinstall anything. Was getting alot of lag problems, low FPS in games, and some other really bad problems, then i reinstalled Windows 8 and everything was fixed.

Nope, I just switched my CPU over 2 times yesterday, still using an outdated Win7 trial lol XP

I had to re-install, just make sure you get have the correct key when reactivating. You will most-likely need to call them to verify the key.

I swapped my mobo and CPU.

If it isn't working absolutely perfectly, according to all your assumptions, it is broken.
