The msi comes with higher gpu core clock frequencies out of the box. 

 

It looks like neither comes with power connectors and only draw power from the pcie port. So i would say that overclocking will be limited.

 

I would get the msi assuming it is not way more expensive.

More then likely, none that wouldn't be caused by silicon lottery.

Potentially, yes. You may not get terribly far with an OC, but you should be able to.
