Rooting is giving you access to everything

There aren't really any downsides apart from no warranty i think

I am not 100% sure though

Some cases can avoid warrenty.

Make sure after rooting to disable USB debugging, this will leave a big security hole if not disabled.

 

As for the pro's:

It gives you root access to your phone allowing flashing of ROM"s a.o Cyanogenmod.

Root access for apps like Network spoofer and other stuff.

Ability to flash different kernel, allows overclocking, underclocking, battery saving.

Nexus devices are incredibly easy to root compared to some other devices. I'm talking one button and its done. You can load custom apps that edit the insides of the phone. Such as patching applications that remove the ad's. Also making the device look like another make such as themes that can make them look like they are running Samsung's stock rom's.
