Ok so i got a new CPU for my old PC. (curently have an Pentium Dual-Core E5300) and the new CPU is a Core2Quad Q8300). My motherboard is Asrock G31M-GS Rev.2.01 with latest bios (1.90).
Other specs are: 2 Sata HDD and 1 ATA HDD/ 4 GB ram ddr2 @800mhz / Gigabyte Gt430OC edition / and 450w power suply. My problem is that everytime i mount the new CPU. it works for like 1 hour then sudenly my PC freeze and not even boot anymore (or even enter BIOS) and when i restart it (after freeze) it hangs and actually restart after like 5 seconds (from Case buton). I checked if is compatible with MB and is 100% compatible. I even changed the FSB pin to OC mode and no improvement. Checked components to see if is from then and still same freeze. Checked CPU on a friend PC and for 1 full day worked like a charm. I really don't know what to do to make it running. (my friend specs are almost identical to mine and the PSU is 400W [PSu that came with the case and is same in my case])

my quick guesses:

 

1. Thermal problem

2. Aging PSU

 

There were some motherboards that had trouble reading the temperatures correct. Do you have the latest available bios installed?

 

For the PSU, your hardware, guessing from the parts, is around 10 years old. PSUs do age with time and are not able to deliver the power they have been certified for in a stable manner. And they do age differently. For example my CM 520 wasn't able to support an I5, 16 gig ram, 3 hdds, and a gtx 560 stable. My wifes system has the same PSU and hers is still running well supporting the same hardware.

 

That are my two ideas.

Thermal stay at like 40 degrees with stock cooler and the problem is that why the dual core works perfect even in OC mode (from 2.6 to 3.4 ) due the FSB jumper set to OC and is stable on 24/7 use of PC. I might try a new PSU, or it might be a faulty CPU ?

BIOS is at latest version. And before mounting new CPU i even cleared CMOS from MB jumpers.

I even tried with 1 stick of ram and main HDD (with clean windows instaled on it ) and same. OS i use is windows 10 pro x64.

the quad core is sipping "aaa liiiitlle" more wattage than the core 2 duo. You said the cpu was working fine in your friends system, so I won't think that he CPU is faulty.

I got a laptop which isn't supported by windows 10. I need to deactivate devices so that wlan works. But still it runs Windows 10 with anniversary update. I got the occassional bluescreen every now and then, and creators update wouldn't get installed on that thingie, tried it as upgrade and clean install, just at 30% bluescreen, that 3 times in a row and the installer tries a rollback or just quits for good.

 

It is a core 2 duo device as well. 

 

Another computer I got here is running a Core 2 Duo E8400 with Nvidia 650 Sli chipset. That one runs all windows without any problems, the board only had a hard time setting the right voltages to the rams when 4 sticks where installed. wierd crashes until I found the reason. Manually set the right voltages in the bios and all was well.

Maybe give the CPU a little more voltage and see if that helps.

i did that too little by little and still same. (i even calculated the PSU power needed for that CPU and other components, and was like 266W if i recall right. and was recomended a 350W PSU). Mine is 450 and yes i know the eficacity is not the same but still ....

Hm I'd say mobo as reason number 1 and Psu for reason number two (which is less likely due to your other CPU working just fine).
