It just means that the motherboard is compatible with Windows 8.1, you will still need to install it and have your own license for it but all of the onboard stuff will work with it.

No, you should be able to run Windows 8.1 on all modern motherboards. If it doesn't say it on the box you might need to use the generic drivers for the motherboard.
