Start up issue, Help needed

First of all thank you for taking the time to read this, I recently bought a fx8320 cpu and installed it into my asrock 970de3/u3s3 along with my r9 380 and 8gb of ballistix ram with a 700watt psu. It boots bios around 1 out of 3 times but when I choose to start windows it freezes. I have called my local store and explained and they said it sounds like a motherboard issue. I would like to know if any of you have any idea how I could fix it or if I just need to purchase a new motherboard. Once again thank you for reading and if you have any questions please ask and I'll do my best to explain further.

First thing I would suggest is check the CPU is seated correctly and your cooler installed properly, then remove any OC as old ones probably wont work on the new CPU.  Just a thought, the CPU and all of your components are compatible?

As far as I have been able to see yes they are compatible, no I have not set the motherboard to default, I had to upgrade the bios to p1.70 from the asrock site to even have it be compatible with the fx8320

When the bios starts it reads everything, it seems perfectly normal but when I start windows either from repair or normal mode it freezes. And I'm stuck with starting windows and nothing else (I used windows 7)

Have you check the integrity of the OS files in the drive. I would suggest that it is Windows if the boot goes OK up to Windows loading.  Try putting your windows CD in and running a repair (or grabbing the ISO and making a bootable thumb stick if no CD).
