Does overclocking cpu improve fps in AC:U?

I have i5-4690k with oc msi 970 and fps is between 48-60 with ultra settings high shadows and fxaa, but i've noticed that cpu is almost always 100% especially when dropping to 48fps so If I O/C my cpu to 4.4ghz would it help with the frames ?

Maybe a  little.

My thoughts are that if you can possibly overclock it to 4.4 GHz then why not? By the sounds of it you have a pretty powerful rig.

Probably. AC games have always been terribly optimized and hungry for CPU. I remember getting literally 100% more fps in ACII going from q6600 at stock speeds to 3.2Ghz. And then another 60% increase when I went from Q6600 at  3.2Ghz to i5-2500k at stock speeds. And AC: Unity is aparently a disaster so you need as much horsepower as you can get.

If the game is pinning your CPU at 100%, then definitely test those temperatures before you get into gaming. Improper cooling could potentially drop clocks below what you currently have when you overclock, and you could seriously damage your CPU. Also, it's possible that your CPU is already thermal throttling as it is. Although, based on what I've seen you're already getting about the max potential out of your 970.
