Windows 7 Upgrade disc?

Hey guys,

 

I recently got some old computer stuff from a friend, and found a Windows 7 professional copy in the box he gave me. The box is still in it's original packaging and hasn't been opened, so I was simply thinking about selling it since I'm already on windows 8.

 

But there's one thing I'm a bit worried about: It's an upgrade copy, with the word "Upgrade" In the top right corner of the box.

 

So my question is this: Is there a difference between an upgrade copy and a full copy and would I be able to sell it?

I have never had a problem with Windows 7 upgrade disks.  I have installed plenty of them on freshly built systems.

I dont know if there is a difference but before selling make sure it is approved for resale... my info may be wrong cuz im not an expert on this topic B)
