Will it work with an msi z87 g42 pc mate out of the box?

Nope. Not out of the box.  You need a BIOS update, which requires a working Haswell processor.

If you want it to work out of the box, you need a Z97 motherboard.

No, it requires a BIOS update before it will work.

But why does it, Intel just used a Haswell chip, thinner IHS and better thermal paste, why would a BIOS update be needed?

Firmware.

It will work, it just needs a BIOS update.  In order to update the BIOS, you have to have a working Haswell processor so that you can actually do the update.
