I have 2 pcs and I want to know whitch one can be upgraded and witch will have better preformance after that. 

 

1st pc 

Dell precision t5400

  Intel xeon x5450(in socket1) 

  Nothing(in socket 2)

  Oem motherboard with 2 cpu sockets and 8 ddr2 ram slots. 

  2x2gb ddr2 ram

  Amd radeon Hd 6950

  

 

2nd pc

  Spire case 

   Asrock n68c-s ucc (2 ddr3 ram slots) 

  2x2gb ddr3 ram(can be upgraded with an amother 8gb stick in single chanel) 

  Gt 740

 

 

 

Target resolution:720 or 768p

Not really a upgrade you need a whole new PC my friend.  New mobo new CPU and new RAM.  Also possibly a new PSU as I don't know what your using now.  Also what is your budget?

neither are really worth upgrading, just sell them and use the money for a new build.
