 It usually. Usually what it does is it detects the old copy of windows and uses the info from that copy instead of a product key. If it can't detect windows, you will have to re enter the product key.

You don't, as long as you're connected to the internet once you boot into windows you'll be fine. Just hit "I don't have a product key" when installing windows.
