So I have a phenom ii 965be and it's bottlenecking my 7970ghz ... I don't have a ton of money right now and someone in my area has an i3 4150 with a crappy green PCB board, Asrock IMB-380-L, and 8gb ram for about 100 bucks...

From what I can see the 4150 should be similar in multi threaded apps to my 965 but much better single core performance...

Is it worth the upgrade?

If you are using all 4 threads then no, it isn't you would only see about a 7% gain.
