Can't overclock and there are no integrated graphics. Other than that, you are getting the same performance and a lower price. However, if you want to overclock, a Xeon isn't for you- go for the 4790K.

i5 4690K | Asus Ranger VII | 8GB HyperX Fury | Asus GTX 780 | NZXT H440 | Samsung 850 Evo | Seagate Barracuda | Corsair RM 750W | Corsair H105

E3-1246 v3 | Asus Gryphon Z97 | 8GB HyperX Fury | MSI GTX 970 | Enthoo Evolv mATX | Samsung 840 Evo | WD Red | EVGA SuperNova GS 650W | NZXT Kracken x41

If you want to overclock, get the 4790k.

Intel Core i3 2100 @ 3.10GHz - Intel Stock Cooler - Zotac Geforce GT 610 2GB Synergy Edition

Intel DH61WW - Corsair® Value Select 4GBx1 DDR3 1600 MHz - Antec BP-300P PSU

WD Green 1TB - Seagate 2.5" HDD 1TB - Seagate Barracuda 500GB - Antec X1 E.

Think of the Xeon as a i7 4790 non-k. And that xeons are made to work 24/7 since its a server chip. On a single gpu, gaming performance for 98% of games sees pretty much no improvements over a mid range i5 (i5 4460)

its not that i really want to overclock, but if i can, ill do it, so is an overclocked i7 4970K better then a Xeon?

You probably won't even notice the difference maybe a tiny bit in really CPU bound game
