It'll keep it cooler, while also being quieter. But for the majority of uses, and provided you have a decent enough airflow setup in your case it will be unecessary.

 

Personally I would do it, after all I did buy the Shadow Rock 2 for my locked CPU.

 

For OCing it should do well enough with a modest OC, I wouldn't do anything extreme with a $30 cooler.

 

Also it should come with decent thermal paste.

If you are going to overclock, buy a aftermarket cooler.

Or if you want lower temps and or lower noise.

It depends. If the Processor is an FX CPU (FX-8350, etc.), don't get an FX. If it's an Intel, and it's a locked CPU (non-K, i3-4160, i5-4460, i5-4590, etc.)  the stock cooler is enough, unless if you are concerned about the noise. Then the Be Quiet! cooler will be great! It does come with thermal paste pre-applied. If it's a K series CPU (i5-4690K, i7-4790K, etc.) then you might want to look into something more expensive like an AIO, so you can overclock.
