So for a better description of whats happening and what im running is.

CPU:Intel core i7 4790k @ 4Ghz
CPU cooler: NZXT Kraken x41
Thermal paste: IC Diamond 24C (rice grain method)
RAM: G.Skill Ares 1600Mhz CL10 4x 8GB(32GB)
Motherboard: Gigabyte Z97X-SOC
PSU: Be quiet! DARK POWER PRO 10 750W
GPU: Gainward Phantom GTX 970 4GB @ 1202Mhz GPU clock speed.
Storage: 2x Samsung 840 EVO(1 has RAPID mode enabled, other has OS) SSD, 1x ioDrive 2 duo 1.2TB PCI-e SSD, 1x OCZ Revodrive 350 960GB.

now everything apart from the CPU and motherboard ran at the exact same settings with an AMD FX 8350 @ 4.7Ghz on a M5A99FX pro 2.0 motherboard and not a single issue.

I just swapped all other parts when i upgraded to Intel.

In december i switched to intel and immediately started to get an issue after start up whether i stick things at stock speeds or even underclock them a little Ive even taken the PC apart completely and putting it back together double checking every single thing.

So whats happening is, i finish work start up my PC when i get home. after exactly 5 minutes and 8 seconds (yes i timed it over the last week) the PC shuts off (does not shut down) and gives me the boot failure screen dispite it takes about 6 seconds to get to my desktop screen and i could already be playing a game or a couple of minutes into a youtube video when this happens.

Now after this happens i go into bios save & exit, no more issues until the following day and it repeats this process, i have tried clearing CMOS altho only through the On-board motherboard button.

so for now im having to go to BIOS save & Exit everytime i boot to avoid this issue and possible hardware damage, until i can figure out the issue.

Any1 have any idea whats going on?

It could be a number of things.  From the sound of it, I would start looking at the PSU, I have had simialr issues where I would randomly have my system shutdown with no warning.  I would say to try a different PSU, if the problem persists, then comes the real troubleshooting.

Start to remove parts from the system until the problem goes away, but only do one thing at a time.

Just recently I had a motherboard go bad and it wasn't until I had EVERYTHING (even the CPU was removed) out of the board before I finally made the conclution that the board was bad.

Good luck!

i dont think it is a PSU issue, the kicker is, I am able to do anything and everything on 2nd boot. including OC to 4.7Ghz on my 4790k, Ram staying at 1600Mhz and my GPU clock speed @ 1302Mhz. and play for hours upon hours at those settings?

also if it was a bad board or other hardware issue, sure i couldnt do any of that?

Hmm, missed the BIOS part you had mentioned, sorry about that...

It sorta sounds like something might be up with your overclock settings, but when you boot for a 2nd time everything works, OC and all?

Yeah no issues at all. even if i dont touch the BIOS settings and just save & exit,

Thats really odd.   Have you stressed the system after the 2nd boot to make sure everything was stable?

Are you really really really 100% sure you are running the latest and greatest BIOS version on your MB? or you could Boot up in safe mode and check if it is a OS problem where a procces is making your PC to shut off.

The PSU problem sounds logic but i could only imagine a rail being not feeded, but again, i dont think its the problem because as you have mentioned before, after all the save and exit you can use the PC properly, try what i mentioned before and keep updating.

Yes, Ive run benchmarking software for a little over 3 hours (prime95 blend test), played multiple games spread over 3 monitors on highest settings(BF4, Dragon age inquisition, Borderlands: The pre-sequal [PhysX on high] and streamed it at 1080p 60 FPS 5000Kb bitrate, all at once to give it a sort of real world homebrew stress testing. While at the OC settings and stock settings, only difference seen is about 10 to 20 FPS per game, and temperatures reaching a maximum of 67*C / 153*F (room temp is about 16*C / 61*F)

Also yes im 100% sure im running the latest BIOS update that was the first thing i checked. (Version F5 for gigabyte Z97X-SOC)

Just have to ask this to make sure we have covered all our bases here, and I'm sure you have checked but need to ask to get the simple stuff out of the way.   After the 2nd reboot, after you get through the BIOS and are in windows, have you used any software to double check that the clock speeds on everything (CPU, GPU, RAM, etc) are all the same as they were on the first boot?

My next suggestion would be to save the OC profile in the BIOS and go back to factory stock clocks on everything.   If you are having the same issue on stock clocks, then there is another issue at hand.

When my PC boots up orignally its 4.4Ghz on CPU, GPU is stock and RAM is 1333Mhz. other than that its exactly the same. I think this could be the issue, as those are settings I've never seen nor have i set myself,

But then my old build with an AMD FX 8350 the ASUS mobo auto OC'd the CPU to 4.7Ghz. without me even realizing until about 3 months after setting it up as it wa smore of a budget build at first.

Yea, if you never set those numbers, try doing a reset of the BIOS and see what happens.

Othis might be a longshot but could it be the RAM XMP profile? i know my RAM support it but with my current settings that is turned off, and the settings on original boot up a XMP profile is active.

the RAM i have is.

G.Skill F3-1600C10Q-32GAO

Try turning on the XMP for the RAM, should boots the clock speed of the RAM up to 1600 Mhz.  GIve that a try and see what happens.

RAM is already at 1600Mhz without XMP on

My mistake.  So it boots with the XMP profile on.    Try turning it off, if that donesnt work, go back to your BIOS and reset everything to factory stock.  Even if they are stock already, just give it a shot to see what happenes.

I think i found the issue, Ram clocks after a standard boot up was 10/11/11/30

Now with XMP and Manual clock speed 1600Mhz (instead of auto @ 1333Mhz) RAM clocks are 10/10/10/30

http://puu.sh/f1pdl/2e6290b938.png

dont know if that would cause issues. but its a shot in the dark.

Pc has been on over night, 9 hours were under gaming loads ( Battlefield 4 single player ultra 1080p + Borderlands: the presequal 1080p highest + PhysX on high on 2 different screens)

However i turned it off before i done my stupid 4 hour shift at work today, came home. it turned off after 5 minutes and 8 seconds and rebooted as usual, bringing up the boot failure screen dispite having time to log into WoW and was already in a dungeon before this happened.
