There shouldn't be a significant difference in performance between the two cards. You should be able to use them in SLI, but if one of them is preoverclocked it will downclock itself to be the same clock speed as the other one, which isn't really a big deal.

They use the same chip but the CU II is pre overclocked so it will perform a bit better at stock. Of course you can always just oc the PNY card aslo. As for SLI, with the 600 series you can sli 2 cards as long as they have the same chip so you should be good.

Asus video card like to pre-overclocked ? since the card looks awesome and it meant to be on performance base.

The clock are quite bit different. 980 MHz vs 1020 MHz
