Your motherboard uses Intel's i945 chipset, which supports a maximum address space of 4GB and does not support memory remapping. Given that some of that address space have to stay reserved for other devices, you will never be able to use more than 3.2GB RAM, despite having two 2GB sticks.

 

Upgrading BIOS will not help, as it is a chipset (hardware) limitation, not a software one.
