From recent experience, it has replaced the regular Google Earth. I used the web type installer that was downloaded about a year ago, and it downloaded and installed Pro, so I don't think there is anything to worry about. Looks like it updated in the background but required a restart to finish, and didn't notify you.

Just thought I'd add, you mentioned about talking for a discount. I'm guessing they are selling 64-bit for more than 32? Generally the licence keys are universal so the key will work on both 64 and 32-bit (from my experience)
