They are very similar motherboards... Since on Haswell the voltage regulators (large factor of overclocking, provides the power to run the cpu) are in the cpu, the overclocks from both boards will be pretty much identical. With the same warranty, I guess it comes down to the features and asethetic you want. Gold/Black, or Black/Red? Each have their own software suite, I would look at the features those have and see which looks the best to you. I think you'd be good with either.
